Welcome to RealPact! These Terms of Service ("Terms") govern your access to and use of RealPact, an AI-powered real estate contract automation platform. SignPact, Inc. ("SignPact," "we," "us," or "our") provides an online service that allows real estate professionals to automate contract creation, integrate with MLS databases, parse county deed registries, obtain electronic signatures, and streamline the entire real estate transaction workflow. By using the RealPact website and services (collectively, the "Service"), you agree to be bound by these Terms.
SignPact, Inc. is a Delaware C Corporation (EIN: 39-2704088) incorporated on June 12, 2024, and headquartered at 1349 Hinman, Hanover, NH 03755. These Terms constitute a binding legal agreement between you (the user of our Service) and SignPact, Inc. We encourage you to read these Terms carefully. If you do not agree with any part of these Terms, you must not use the Service.
1. Acceptance of Terms and Eligibility
1.1. Eligibility: You must be legally capable of entering into a binding contract to use RealPact. This means you must be at least 18 years old (or the age of majority in your jurisdiction) and have full legal capacity. For real estate professionals, you must have valid licensing in your jurisdiction. By using the Service, you represent and warrant that you meet these eligibility requirements. If you are using RealPact on behalf of a real estate brokerage or agency, you represent and warrant that you have the authority to bind that entity to these Terms.
1.2. Account Registration: To access RealPact's features, you will need to create an account. You agree to provide true, accurate, current, and complete information about yourself and your real estate license/brokerage as prompted by the registration process. This includes your MLS credentials if you wish to use our MLS integration features.
1.3. Account Security: You are responsible for maintaining the confidentiality of your account credentials, including any MLS access credentials you provide. You are responsible for all activities that occur under your account. Given the sensitive nature of real estate transactions, you must notify us immediately at founder@signpact.ai if you suspect unauthorized access.
1.4. Acceptance of Terms: By creating an account or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to these Terms, as well as our Privacy Policy.
1.5. Updates to Terms: SignPact may modify these Terms from time to time. Continued use of the Service after updated Terms go into effect constitutes your acceptance of the changes.
2. Description of the Service
RealPact provides a comprehensive suite of AI-powered tools to automate and streamline real estate transactions:
- Automated Contract Generation: RealPact automatically creates real estate contracts (listing agreements, purchase & sale agreements, deeds) by pulling data directly from MLS databases and county deed registries, eliminating manual data entry and reducing errors by ~70%.
- MLS Integration: Direct integration with Multiple Listing Services to fetch property details, legal descriptors, tax information, and other listing data in real-time to auto-populate contracts accurately.
- Smart Document Review: AI-driven tagging and form filling ensures every contract field is completed accurately in minutes, not hours. The system learns from each use to improve accuracy over time.
- Voice-Enabled Mobile Agent: Real estate agents can speak commands directly into their phone to create and send contracts immediately after property showings, capitalizing on the critical first 15 minutes when clients are most likely to sign.
- Electronic Signatures: Secure, legally-binding e-signature functionality that allows all parties (buyers, sellers, agents) to sign documents electronically with full audit trails.
- Customizable Templates: Brokerages can upload their specific contract templates, and our AI will recognize and map the appropriate data to the required fields automatically.
- Transaction Management: Track and manage all contracts, monitor signing status, set reminders, and maintain organized records of all real estate transactions.
3. User Content and Ownership
3.1. Your Content: In using RealPact, you will be creating and managing content such as real estate contracts, property data, client information, and transaction records ("User Content"). All User Content that you create or upload is yours. SignPact does not claim any ownership rights in your User Content.
3.2. License to SignPact: When you use our Service, you grant SignPact a worldwide, non-exclusive, royalty-free, limited license to host, store, process, transmit, and display your content solely for the purpose of operating and improving the Service, including using AI to learn and improve contract automation.
3.3. MLS Data: You represent that you have proper authorization to access and use MLS data through our Service. You agree to comply with all MLS rules and regulations regarding the use and display of listing information.
3.4. Content Visibility: Contracts and documents you create are private to your account unless you choose to share them with clients, other agents, or transaction parties. When you send documents for signature, those parties will have access to the document content.
3.5. Data Accuracy: While RealPact automates data population from MLS and public records, you remain responsible for reviewing and verifying all contract information before sending for signatures.
3.6. Backup Your Data: While we maintain backups, we strongly encourage you to keep copies of important contracts and transaction records outside of RealPact as well.
4. Acceptable Use Policy
To ensure proper use of our real estate platform, you agree that you will NOT:
- 4.1. Illegal or Unethical Conduct: Use the Service for any unlawful purpose or in violation of real estate laws, regulations, or ethical standards, including fair housing laws.
- 4.2. Unauthorized Practice: Use the Service to practice real estate without proper licensing or exceed the scope of your license.
- 4.3. MLS Violations: Violate any MLS rules, terms of use, or data display requirements when using our MLS integration features.
- 4.4. False Information: Create contracts with false, misleading, or fraudulent information about properties, parties, or transaction terms.
- 4.5. Unauthorized Access: Attempt to access MLS data or property information you are not authorized to view or use.
- 4.6. System Abuse: Use automated systems to overwhelm our servers or attempt to reverse-engineer our AI algorithms.
5. Intellectual Property Rights
5.1. Our Proprietary Rights: The RealPact platform, including our AI technology, automation algorithms, and user interface, is the property of SignPact or our licensors and is protected by intellectual property laws.
5.2. License to Use the Service: Subject to your compliance with these Terms, SignPact grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for legitimate real estate business purposes.
5.3. Open Source Components: RealPact is built using various open-source libraries and frameworks, each subject to its own license terms.
5.4. Feedback: We welcome feedback about how to improve RealPact for real estate professionals. If you provide Feedback, you agree that we are free to use it without restriction or obligation to you.
6. Electronic Signatures and Records
By using RealPact's e-signature features, you agree to the following:
6.1. Legal Validity: You intend that electronic signatures on documents through RealPact have the same legal effect as handwritten signatures, to the fullest extent permitted by applicable law, including ESIGN Act and UETA.
6.2. Real Estate Compliance: You are responsible for ensuring that electronic signatures meet any specific requirements in your jurisdiction for real estate transactions.
6.3. Audit Trail: RealPact maintains comprehensive audit trails for each signature transaction, including signer identification, timestamps, IP addresses, and all document interactions.
7. Fees and Payments
7.1. Subscription Plans: RealPact offers various subscription tiers designed for individual agents, teams, and brokerages. Pricing is based on the number of agents and volume of transactions.
7.2. Pilot Programs: We offer pilot programs for brokerages to test RealPact's impact on their transaction efficiency before committing to annual contracts.
7.3. Payment Terms: Subscription fees are billed annually or monthly. Enterprise customers may negotiate custom payment terms.
8. MLS and Third-Party Integrations
8.1. MLS Access: To use our MLS integration features, you must provide valid MLS credentials and maintain your MLS membership in good standing. We act as your designated vendor for accessing MLS data.
8.2. Compliance with MLS Rules: You agree to comply with all applicable MLS rules, including data display requirements, copyright notices, and usage restrictions.
8.3. Third-Party Services: RealPact may integrate with other real estate tools (CRMs, marketing platforms). Use of these integrations is subject to the third party's terms of service.
9. Disclaimers of Warranties
RealPact is provided "AS IS" and "AS AVAILABLE." While we strive to provide accurate automation and reliable service:
- 9.1. No Guarantee of Accuracy: While our AI strives for accuracy, we do not guarantee that auto-populated data is always correct. You must review all contracts before use.
- 9.2. No Legal Advice: RealPact does not provide legal advice. For legal questions about contracts or transactions, consult a qualified attorney.
- 9.3. Third-Party Data: We do not guarantee the accuracy of data from MLS systems or public records.
10. Limitation of Liability
To the maximum extent permitted by law:
10.1. Exclusion of Damages: SignPact will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost commissions or deals.
10.2. Cap on Liability: Our total liability will not exceed the amount you paid for the Service in the twelve months preceding the claim, or $1,000, whichever is greater.
11. Indemnification
You agree to defend, indemnify, and hold harmless SignPact from any claims arising from:
- 11.1. Your Use: Your use of the Service, including any real estate transactions conducted through RealPact.
- 11.2. Violations: Any violation of these Terms, real estate laws, MLS rules, or third-party rights.
- 11.3. Contract Disputes: Any disputes arising from contracts created or signed through the Service.
12. Termination and Suspension
12.1. Your Termination: You may terminate your account at any time by contacting us at founder@signpact.ai.
12.2. Our Termination: We may suspend or terminate your access for violations of these Terms, MLS rules, or applicable laws.
12.3. Effect of Termination: Upon termination, you should download any contracts or records you need, as access to the Service will be discontinued.
13. Governing Law and Dispute Resolution
13.1. Governing Law: These Terms are governed by the laws of the State of Delaware and the United States.
13.2. Arbitration: Disputes will be resolved through binding arbitration, not in court, except for certain excluded claims.
13.3. Class Action Waiver: You agree to resolve disputes individually and waive any right to participate in class actions.
14. Miscellaneous
14.1. Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement regarding the Service.
14.2. Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
14.3. Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations.
